CheerpJ JNLP Runner browser extension End User License Agreement (EULA)

PLEASE READ THIS END-USER LICENSE AGREEMENT CAREFULLY BEFORE INSTALLING OR USING THE CHEERPJ JNLP RUNNER BROWSER EXTENSION.

This End User License Agreement (“EULA”) is a legal agreement between you (referred to as “you” or “End User”) and Leaning Technologies Limited (referred to as “we” or “Leaning”), the provider of the CheerpJ JNLP Runner browser extension (referred to as “Software”, “Extension” or “Product”).

By installing, accessing, or using the Extension, you agree to be bound by the terms of this EULA. If you disagree with the terms stated herein, do not install or use the Extension.

This EULA regulates any trial (“Trial License”) or full license (“Full License”) for the CheerpJ JNLP Runner browser extension when downloaded and installed from the Chrome Web Store or the Microsoft Edge Add-ons store.

1. License Grant

Subject to your compliance with the terms of this EULA, Leaning Technologies grants you a personal, non-exclusive, non-transferable, limited and revocable license to install and use the Extension solely for your personal or business use.

The Extension is licensed to a single named user to be used by that individual only on a single web browser (the “Browser”), on a single physical or virtual machine (the “Computer”).  A separate license fee must be paid for each additional Browser on which the Software is used, and the Software may not be used on more Computers than the number of licenses listed on the Order.

Licensee may transfer the Software from one Computer to another in the licensed individual’s possession and control, provided that Licensee removes all copies of the Software from the Computer from which the Software is being transferred.

Licensee may Use the Extension in compliance with the terms of this EULA, provided, that Licensee’s right to use the Software is not perpetual and is time-limited to the terms specified as part of the Quote or Invoice provided to Licensee (the “Order”) as part of the initial installation. If Licensee does not purchase a term extension prior to the expiration of the then-current term, then at the end of such term this License Agreement (including any licenses granted hereunder) shall be terminated.

2. Software Functionality

For purposes of this License Agreement, “Use” means using a Browser to access Java Web Start applications provided through the download of a JNLP file. “Authorized User” means Licensee or any of Licensee’s employees who have been granted access to the Software, as well as third-party consultants who use the Software on Licensee’s behalf.

It is Licensee’s sole responsibility to ensure sufficient testing using the trial or full versions of the Software, in order to ensure the Software is suitable for, fully compatible with, and operational within Licensee’s environment prior to purchasing a license.

The Software is provided AS-IS, at time of license purchase. It is Licensee’s sole responsibility to test all functions, screens, user actions, scenarios that Licensee will use the Software for (including, but not limited to all individual Oracle Forms / E-Business Suite screens, and functions, tasks, actions performed within to ensure compatibility with the Software).

Leaning does not warrant the Software to be error-free, and/or to be compatible with future operating systems, Java versions, and Browser versions. Leaning expressly does not guarantee the availability of the Software through online means such as Google Web Store and Microsoft Edge Add-ons. In case a store provider refuses to continue to host the Extension for any reason, or if Leaning chooses to remove the Extension from any such online store, Licensee may contact Leaning for a local copy of the version of the Software Licensee has purchased a license for, provided Licensee has also entered into a a Full License agreement, and the agreement  has not expired. A local copy of the Software may require Licensee to take additional steps to use, such as enabling developer mode in your Browser or Operating System, performing manual installations, running specific versions of software or hardware, or perform other manual tasks.

Licensee is not entitled to a refund of license or support fees, or other compensation of any kind, if Licensee is required to run such local copy of our Software.

3. Restrictions

a. You may not modify, adapt, reverse engineer, decompile, disassemble, or attempt to derive the source code of the Extension, in whole or in part, unless expressly permitted by applicable law.

b. You may not sublicense, lease, rent, or transfer the Extension or any of its rights granted under this EULA to any third party.

c. You may not use the Extension in a manner that violates any applicable laws, or regulations or infringes upon the intellectual property rights of any third party.

d. If you have a Trial License for the Extension, you may only use the Extension to evaluate its functionality, compatibility and suitability within Licensee’s environment and purposes prior to purchasing a full license.

e. If you have a Full License for the Extension, you may use the Extension for any Use, private or business-related, provided that your Browser is connected to the public internet. You may not use the Extension in fully air-gapped environments, and you are not licensed to host and re-distribute the Extension in internal networks.

4. Intellectual Property

The Extension is protected by copyright and other intellectual property laws. Leaning Technologies retains all rights, title, and interest in and to the Extension, including any improvements, updates, or modifications. This EULA does not grant you any ownership rights or licenses to the Extension other than as expressly stated herein.

5. Privacy

The Extension may collect and store certain information to provide and improve the service. By using the Extension, you consent to collecting and using your information as described in our Privacy Policy. The End User expressly accepts that from time to time, the Extension will contact a license verification server, controlled by Leaning or provided by a third-party, for the purpose of confirming the validity of the trial or full license. This electronic communication is regulated by the Privacy Policy.

6. Disclaimer of Warranty

THE EXTENSION IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LEANING TECHNOLOGIES DO NOT WARRANT THAT THE EXTENSION WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE FROM HARMFUL COMPONENTS. YOUR USE OF THE EXTENSION IS AT YOUR OWN RISK.

7. Limitation of Liability

IN NO EVENT SHALL LEANING TECHNOLOGIES BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL, OR PUNITIVE DAMAGES WHATSOEVER ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE EXTENSION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LEANING TECHNOLOGIES’ LIABILITY UNDER THIS EULA SHALL NOT EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR THE EXTENSION.

8. Termination

This EULA is effective until terminated.

Leaning Technologies may terminate this EULA at any time if you fail to comply with any terms and conditions stated herein. Upon termination, you must cease all use of the Extension and delete all copies from your devices.

Licensee may terminate this EULA and related licenses at any time by destroying the Software, together with all copies in any form. In the event of any such termination, Licensee agrees that any pre-paid license fees are non-refundable. If the Order provides for ongoing payments during a specified term, and Licensee terminates prior to the end of such term, Licensee agrees to pay the full amount that would have become due during such term, and such payment shall be due in full upon termination.

9. Governing Law and Jurisdiction

This EULA shall be governed by and construed under the laws of The United Kingdom and Great Britain, excluding its conflicts of law rules. Any disputes arising out of or in connection with this EULA shall be submitted to the exclusive jurisdiction of the courts of The United Kingdom and Great Britain.

10. Entire Agreement and Severability

This EULA constitutes the entire agreement between you and Leaning Technologies regarding the subject matter herein and supersedes all prior or contemporaneous understandings and agreements, whether written or oral. If any provision of this EULA is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

By installing or using the CheerpJ JNLP Runner browser extension, you acknowledge that you have read, understood, and agree to be bound by this EULA.
